01 · Introduction and Acceptance
These Terms constitute a legally binding agreement between you and Trove Inc., a Delaware Corporation, governing access to the Platform, Services, and digital trading cards.
By creating an account or accessing Services, you acknowledge you have read and agree to be bound by this Agreement and all incorporated policies, including the Privacy Policy.
We reserve the right to change or modify this Agreement at any time and in our sole discretion. Continued use indicates acceptance of revisions.
02 · Eligibility, Account Registration, and Security
2.1 Eligibility
Users must be at least 18 years old, not barred under U.S. law, and not located in Prohibited Jurisdictions.
2.2 Account Creation
You agree to provide accurate, current, and complete information and maintain updated Registration Data while consenting to collection per the Privacy Policy.
2.3 Identity Verification
You acknowledge and agree that you will be required to successfully complete our identity verification process for certain features including purchases and fund withdrawals, conducted by third-party partners.
2.4 One Account Per Person
Each individual is strictly limited to one (1) user account. Multiple accounts constitute material breach.
2.5 Account Security
You are solely responsible for login credential protection and must promptly notify Trove if you discover or suspect any security breaches.
2.6 No Account Transfers
Your Trove account is for your personal use only and cannot be sold, rented, leased, or transferred without express written permission.
03 · Purchase, Sale, and Management of Digital Items
3.1 Purchasing Trading Card Packs
You may purchase digital sealed trading card Packs using accepted payment methods or Account Balance. All prices are in U.S. Dollars. Trove reserves discretion to adjust prices and refuse orders.
No Guarantee of Value: Trove makes no representation, warranty, or guarantee as to the specific contents of any Pack, nor the monetary value, rarity, or condition of cards received.
Final Purchases: Once a Pack is purchased and delivered to your account, the transaction is final and non-refundable.
Taxes: You are responsible for all applicable sales, use, and governmental taxes.
3.2 Opening Packs
Opening a Pack reveals Digital Cards contained inside, which are added to your Collection. The Pack is then consumed.
3.3 Digital Collection
The ownership of the Digital Card corresponds to the ownership of the underlying physical trading card, which is held in custody by Trove until shipment.
3.4 Selling Digital Cards to Trove
Trove may make offers to purchase certain Digital Cards at specified prices. Upon acceptance, the transaction is final and the card is removed from your Collection. You are responsible for applicable income and capital gains taxes.
3.5 Redeeming and Shipping Physical Cards
You may request shipment of physical card versions. You cover all shipping, insurance, and handling costs disclosed at request time. Risk of loss passes to you upon delivery to the shipping carrier. Physical cards are stored in a secure facility and shipped in the condition they were in when initially processed.
3.6 Account Balance
Your Account Balance is a credit that can be used to purchase new Packs or be withdrawn to your personal bank account. Your Account Balance is not a bank account, does not accrue interest, and is not insured by the FDIC. Withdrawals require identity verification and may incur fees.
04 · User Conduct and Rules
You agree you will not:
- Use our Services to engage in or facilitate any illegal activity, including money laundering, terrorist financing, or fraud
- Use VPNs, proxies, or other means to obscure location or bypass technical controls
- Use automated systems (bots, spiders, scrapers) to access Services or purchase Packs
- Maliciously exploit any bugs, glitches, or vulnerabilities in the Platform
- Infringe upon Trove's or others' intellectual property rights
- Provide false information in Registration Data or identity verification
- Create or control more than one personal account
- Use Services for any activity that is abusive, harassing, threatening, or defamatory
- Induce third parties to violate these prohibitions
05 · Intellectual Property Rights
5.1 Trove's Ownership
The Services and all content and materials contained therein, including the Trove logo, constitute Trove's proprietary property.
5.2 Third-Party IP
Trading cards contain names, images, likenesses, logos, and other trademarks owned by respective parties. Your ownership of a Digital Card does not grant you any rights to use, reproduce, or commercially exploit the Third-Party IP.
5.3 Limited License
Trove grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your own personal, non-commercial use.
5.4 Trademarks
"Trove," its logo, and product names may not be copied, imitated, or used, in whole or in part, without prior written permission.
5.5 User Feedback
Any submitted feedback becomes the sole property of Trove, and we will be entitled to unrestricted use and dissemination without compensation.
06 · Disclaimers
Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that Services will be accurate, complete, reliable, current, error-free, uninterrupted, timely, secure, or free from malware; that digital or physical cards will have specific monetary value; or that physical card condition or grade will meet any particular standards.
07 · Limitation of Liability
In no event shall the Trove Parties be liable for any indirect, special, incidental, consequential, or exemplary damages related to Service access or use.
Maximum aggregate liability shall not exceed the greater of (a) $100 or (b) the amount received by Trove from you for the Services that are the subject of the claim in the 12 months preceding the claim.
These limitations do not apply to gross negligence, fraud, or intentional misconduct.
08 · Indemnification
You agree to indemnify, defend, and hold harmless the Trove Parties from and against all claims, damages, losses, and liabilities arising from your misuse of Services, Agreement violations, third-party rights violations, or fraud, negligence, or willful misconduct.
09 · Termination and Suspension
We reserve the right, without notice and in our sole discretion, to suspend, terminate, or disable your access to the Services at any time.
Upon determining violations occurred, Trove may cancel associated transactions, confiscate Packs or Digital Cards obtained through violations without refund, and suspend or permanently terminate accounts.
Upon termination, your license to use Services immediately ceases, and access to your account, balance, and Collection may be lost. Material breach may result in forfeiture of Account Balance and Collection items.
10 · Governing Law, Arbitration, and Class Action Waiver
10.1 Governing Law
This Agreement is governed by the laws of the State of New York, without regard to conflict of law rules.
10.2 Arbitration
Any dispute arising out of or relating to this Agreement will be resolved through binding arbitration, except for small claims court actions and injunctive relief for IP infringement. Arbitration follows American Arbitration Association Consumer Arbitration Rules and is held in New York, New York.
10.3 Class Action Waiver
Each party may bring claims only in individual capacity, and not as a plaintiff or class member in any purported class action.
11 · Miscellaneous
This Agreement with the Privacy Policy constitutes the entire agreement between you and Trove. If provisions are deemed invalid, they will be severed without affecting remaining provisions. Our failure to exercise any right will not operate as a waiver. You cannot assign rights without prior written consent. For questions, contact legal@trove.com.
